Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TasteRay, Inc. ("TasteRay," "we," "us," or "our") governing your access to and use of the TasteRay Emotional API (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

TasteRay Emotional API is an AI-powered personalization platform that provides recommendation services across multiple verticals including entertainment, products, travel, and more. The Service uses advanced AI models to analyze user preferences and generate personalized recommendations with detailed explanations.

Account Registration

To use certain features of the Service, you must register for an account and obtain API keys. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your API keys and credentials
• Promptly notify us of any unauthorized access or security breach
• Accept responsibility for all activities under your account

You may not share, sell, or transfer your API keys to third parties without our written consent.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service

• Resell or redistribute the Service without authorization

Rate Limits and Fair Use

The Service is subject to rate limits based on your subscription tier. You agree to:

• Comply with the rate limits specified for your tier
• Implement proper error handling and backoff strategies
• Not attempt to circumvent rate limiting mechanisms
• Use the Service in a manner consistent with fair use principles

We reserve the right to throttle, suspend, or terminate access for excessive or abusive usage.

Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing to a paid plan:

• You agree to pay all applicable fees
• Fees are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled
• Refunds are provided in accordance with our refund policy

We reserve the right to change pricing with 30 days notice. Continued use after price changes constitutes acceptance of new pricing.

Intellectual Property

The Service, including its algorithms, interfaces, documentation, and the "TasteRay" trademark, is owned by TasteRay and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of your data and content. By using the Service, you grant us a license to process your data as necessary to provide the Service.

Third-Party Services

The Service integrates with third-party AI models and services. We are not responsible for:

• The accuracy, availability, or quality of third-party services
• Changes to third-party services that may affect the Service
• Your interactions with third-party services

Third-party services are subject to their own terms and privacy policies.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy of recommendations
• Warranties regarding the security of data transmission

Recommendations provided by the Service are generated by AI and should not be the sole basis for important decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASTERAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption or service unavailability
• Cost of substitute services
• Any damages arising from reliance on recommendations

Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless TasteRay and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit through the Service

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.
